Tom has been involved in matters dealing with a wide range of practice areas including finance, real estate, private placement securities offerings, general business transactions, start-ups, litigation, bankruptcy, land use, creditor’s rights, and corporate and commercial law. The areas of greatest concentration have been in project and commercial financing, real estate development, loan workouts and restructurings, and general business transactions.

His general experience includes representation of:

  • Real estate developers and investors in connection with the acquisition, development, leasing, financing and sale of real estate projects
  • Commercial lenders in connection with construction loans, general real estate mortgage loans, and asset-based loans
  • Commercial lenders in connection with loan workouts, forbearance arrangements and foreclosures of distressed loans
  • Real estate developers and investors in connection with the renegotiation of distressed loans, forbearance arrangements and lender foreclosure actions
  • Out-of-state lenders financing real estate projects in Indiana, serving as local counsel
  • Out-of-state developers developing real estate projects in Indiana, serving as local counsel

In a typical year, Tom will be involved in transactions with an aggregate monetary value of between $250,000,000 and $500,000,000.  He has been involved in real estate projects located in over half of the states in the U.S.  His article,"Reconsidering Completion Guaranties" was published in ALI-ABA's The Practical Real Estate Lawyer.

  • Financing construction and permanent loans for various multifamily projects in the Midwest and nationally, including low-income tax credit developments
  • Financing construction and permanent loans for various retail, industrial, office, and other commercial projects in the Midwest and nationally
  • Financing the construction of hotel projects in the Midwest and nationally
  • Financing the construction of beach-front condominium projects in Florida and Alabama
  • Loan syndications for the construction financing for various commercial real estate developments
  • Loan participations in construction financing for various commercial real estate developments

Real Estate Development and Ownership

Tom also has extensive experience in representing commercial developers and real estate investors in all aspects of real estate acquisition, development, financing, leasing and disposition.  He also has represented owners of commercial real estate in connection with the renegotiation of distressed loans, forbearance arrangements and lender foreclosure actions.  In the commercial real estate area, Tom has handled a variety of matters including representing real estate developers and investors in connection with:

  • The acquisition, development, financing, and sale of various retail developments, office buildings, apartment projects, and commercial industrial facilities in the Midwest and Nationally.
  • Negotiating for the sale of a 70+ acre commercial and residential property in metropolitan Atlanta
  • Negotiating forbearance arrangements for distressed loans secured by commercial real estate
  • The leasing, development, and financing of health and fitness centers in Indiana
  • The purchase of distressed loans secured by real estate
  • Lender foreclosure actions
  • Raising equity for real estate projects through private placement securities offerings

Tom also has extensive experience in representing clients engaged in various commercial enterprises.  In connection with his general counsel for commercial clients, Tom has handled a variety of matters including the following:

  • Collection efforts to recover approximately $4,000,000 in unsecured commercial loans, including the general oversight and supervision of litigation counsel located in Illinois and Kansas
  • The representation of the general contractor and the project owner in the defense of a $353,000 mechanic’s lien action filed by a non-performing subcontractor in connection with the construction of an automotive manufacturing facility in Lafayette, Indiana
  • The representation of the general contractor in connection with the resolution of performance disputes with a subcontractor arising in connection with the construction of an automotive manufacturing facility in Lafayette, Indiana
